Terms of Use

UNIFYD WORLD - A Private Ministerial Association

By joining Unifyd World, a Private Membership Association and/or any website or Social Media Group started by, created by, maintained, or organized by the Association, as well as any Project of the Association, I agree to the terms and conditions of Unifyd World, a Private Membership Association, Agreement as follows.

  1. This Association of members declares that our objective is to allow the Private Membership Association founders and all Private Membership Association members with a platform in which to conduct all manner of private business with the Association and with other Associations and Association members, keeping all business in the private domain and utilizing the protections guaranteed by the Universal Declaration of Human Rights (UDHR), the Constitution to conduct business in private and to provide a platform for members to conduct business in the private domain under all protections acknowledged and guaranteed by the Constitution of the UNITED STATES, and any previous protections guaranteed.

  2. We believe that the Holy Scriptures, the Universal Declaration of Human Rights (UDHR), the Constitution of the United States of America, the various constitutions of the several states of the union, and the Charter of Rights of Canada guarantees our members the rights of absolute freedom of religion, free speech, petition, assembly, and the right to gather together for the lawful purpose of helping one another in asserting our rights protected by those Constitutions, Charter and Statutes, in addition to the rights to be free from unreasonable search and seizure, the right to not incriminate ourselves, and the right to freely exercise all other unalienable rights as granted by our Creator, our almighty God and guaranteed by those Constitutions, Charter, and Statutes WE HEREBY Declare that we are exercising our right of “freedom of association” as guaranteed by the Universal Declaration of Human Rights (UDHR), the U.S. Constitution and equivalent provisions of the various State Constitutions, as well as the Charter of Rights of Canada. This means that our Association activities are restricted to the private domain only and outside of the jurisdiction of government entities, agencies, officers, agents, contractors, and other representatives as provided by law.

  3. We declare the basic right of all of our members to decide for themselves which Association members could be expected to give wise counsel and advice concerning all matters including, but not limited to physical, spiritual, and mental health care assistance, law, and any other matter and to accept from those members any and all counsel, advice, tips, whom we feel are able to properly advise and assist us. 

  4. We expect the freedom to choose and perform for ourselves the types of therapies and treatments that we think best for diagnosing, treating and preventing illness and disease and for achieving and maintaining optimum wellness, as well as the freedom to choose for ourselves any types of assistance which may be made regarding law and any other private business activity. 

  5. The mission of this Association is to provide members with a forum to conduct business between members in the private domain with the protections guaranteed within the aforesaid Constitution and Charter remaining fully intact.

  6. The Association will recognize any person(s), natural or otherwise (irrespective of race, color, gender, or religion) who have joined this Association or any social media group organized, created, or managed by this Association and is in agreement with these principles and policies as a member of this Association, providing said person has not been sanctioned, exercised, or otherwise banned by the association, and will provide a medium through which its individual members may associate for actuating and bringing to fruition the purposes heretofore declared. 

  7. Membership to this Association, "Unifyd World", and any of its groups may be terminated by the association Trustees or their designee, at any time, should they conclude that a specific member is interacting with them or any other members in a way that is contrary or detrimental to the focus, principles, and betterment of this Association.

  8. I understand that, since The Association is protected by the First and Fourteenth Amendments to the U.S. Constitution, it is outside the jurisdiction and authority of Federal and State Agencies and Authorities concerning any and all complaints or grievances against The Association members or other staff persons. All rights of complaints or grievances will be settled by an Association designee, committee, or tribunal and will be waived by the member for the benefit of The Association and its members. By agreeing to this membership form I agree that I have sought sufficient education to determine that this is the course of action I want to take for myself.

  9. I agree to join Unifyd World, a private membership association under common law, whose members seek to help each other achieve better health and good quality of life. I am voluntarily changing my capacity from that of a public person to that of a private member. My activities within The Association are a private contractual matter that I refuse to share with the Local, State, or Federal investigative or enforcement agencies. I fully agree not to pursue any course of legal action against a fellow member of The Association, unless that member has exposed me to a clear and present danger of substantive evil, and upon the recommendation and approval of the Association.

  10. I enter into this agreement of my own free will without any pressure or coercion. I affirm that I do not represent any Local, State or Federal agency whose purpose is to regulate and approve products or services, or to carry out any mission of enforcement, entrapment or investigation. I have read and understood this document, and my questions have been answered fully to my satisfaction. I understand that I can withdraw from this agreement and terminate my membership in this association at any time, and that my membership can and will be revoked if I engage in abusive, violent, menacing, destructive or harassing behavior towards any other member of The Association. These pages consist of the entire agreement for my membership in The Association. 

 

I agree this contract began on the date of my joining "Unifyd World". I declare that by joining this Association and/or the Associations websites and/or social media group(s), I have carefully read the whole of this document and I understand and agree with it. 

Unifyd World, a Private Membership Association and/or any website or Social Media Group started by, created by, maintained, or organized by the Association including this Project, Unifyd Social (hereinafter referred to collectively as UNIFYD) is presented for entertainment and educational purposes and may contain language that is offensive and not appropriate for some viewers. Access to any website or Social Media Group started by, created by, maintained, or organized by the Association is only available to its members who have provided voluntary, informed consent to be a member of Unifyd World, a Private Membership Association and Spiritual Temple.  

 

UNIFYD offers you the unique opportunity to post your story’s, life experiences, events, and other content you desire to share with those you choose to connect with in a censorship free environment. This site is a private membership site, social media network and provides services that enable people to connect personally, build groups, communities and business. Content may include, but is not limited to, metaphysical and spiritual content, teachers and programs that explore life, the universe, aliens, extraterrestrials, and other unexplained and incredible material. The content provided on UNIFYD is not necessarily the opinion of trustees, members, cast, or agents of UNIFYD and are for mature audience. 

 

All content and posts discussed on UNIFYD is not intended to replace any medical, financial or legal advice of any kind and is for entertainment and educational purpose only.  UNIFYD strongly recommends that you consult with a physician or other healthcare provider before you participate in any exercise program, use any fitness products or services offered or displayed on UNIFYD. UNIFYD gives you the platform to connect with people, events that matter to you, post from you or other people on this site can be in the form of posting information through videos, media, links, courses or other formats, as a platform/website to support people on a journey for the great awakening going on inside many of us today and to build a society that implements the ideals of freedom, opportunity, equality, heart mind connection for Divine highest good of all humans. 

 

UNIFYD provides visitors, users, subscribers to its platform with access to content via the World Wide Web and offers the opportunity for users to submit text, pictures, video and other content for posting on the UNIFYD site (the “Site”) under certain terms and conditions. 

 

By accessing, visiting and/or using UNIFYD, you are agreeing to be bound by all of the Terms of use, Privacy Policy and Cookies as stated herein, including the Application, Articles, and Bylaws of Unifyd World.

All of the foregoing, are collectively referred to as the “Agreement,” set forth the terms and conditions of a legally binding contract between each accessor, visitor to and/or user of UNIFYD (together with any business, entity or organization each such accessor, visitor and/or user may be representing) (collectively referred to as “you” or “your”) and UNIFYD (“UNIFYD,” “we,” “our” and “us”). The term “accessor or visitor” (means that you simply browse one or more of UNIFYDs or its affiliate platforms) or a user, registered user or subscriber (collectively “Subscriber” (shall mean that you have registered or subscribed to use UNIFYDs and have registered or subscribed to use one or more of the Services). 

 

ACCEPTANCE OF THESE TERMS AND CONDITIONS THROUGH USE TO BE BOUND. 

By using this UNIFYD, you signify your agreement to all terms, conditions, and notices contained or referenced herein (the “Agreement”). UNIFYD reserves the right, at its discretion, to update or revise these Terms of Use. Please check the Agreement periodically for changes (date posted is listed on the top of the page). Your use of UNIFYD following the posting of any changes to the Agreement will be deemed your acceptance of such change(s). If you do not agree to be bound by any future modifications of this Agreement, your exclusive remedy is to cancel your account and discontinue your use of the Platforms and the Services. Except as otherwise expressly provided herein, any new features, tools, products and/or services that change, augment, enhance or upgrade the current Platforms and/or the Services will be subject to this Agreement. 

You acknowledge and agree that you are obliged to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside, and that restrictions on access to and/or use of some Content may apply to users, visitors or subscribers based on their place of domicile, residence and/or use. 

You may terminate your status as a Subscriber and cancel your account at any time and for any reason, by notifying us by email at contact@unifyd.com, such termination and cancellation will be effective only after UNIFYD has processed the request. If you cancel your account prior to the expiration of your pre-paid subscription period, you will forfeit the fees paid for any unused portion of your subscription, which are non-refundable. However, you will be able to continue viewing premium content until the expiration of your current pre-paid subscription period. You also acknowledge and agree that the cancellation of your account is your sole right and remedy with respect to any dispute with UNIFYD. 

 

REGISTRATION REQUIREMENTS  

Accessors or visitors are currently permitted to view only limited portions of UNIFYD prior to deciding whether to become a Subscriber. Full access to UNIFYDs and the Services is available only to Subscribers. If you wish to become a Subscriber, you must register on UNIFYD, you must complete the registration procedures displayed on the registration page(s) of UNIFYDs and, where applicable, pay the required subscription fee. Some aspects of UNIFYD and the Services are available to all Subscribers. 

This Agreement, as it may be modified from time to time, shall remain in full force and effect for so long as it is posted on any of UNIFYDs or until terminated by you or UNIFYD. 

 

AGE REQUIREMENTS FOR ACCESS AND USE 

By accessing and using UNIFYDs, you acknowledge and agree that you are representing that you are over the age of 13, you are of legal age to form a legally binding contract, and you are not a person barred from purchasing or receiving products and services, under the laws of the United States or other applicable jurisdiction. Registration, Subscription, access to and use of UNIFYDs and the Services are not available to users or anyone under the age of 13 and are void where prohibited by applicable. UNIFYD takes reasonable measures to determine that Subscribers are adults of legal age, however, UNIFYD shall not liable for false information provided to UNIFYD, please refer to Becoming a Subscriber, below. 

 

BECOMING A SUBSCRIBER 

By completing the registration procedures displayed on the registration page(s) of UNIFYD, you acknowledge and agree that (a) you are representing to us that you are providing true, accurate, current and complete information about yourself as prompted by the registration form available on UNIFYDs (the “Subscriber Data”), and (b) you are obliged to maintain and promptly update your Subscriber Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we reserve the right to suspend or terminate your account and refuse any and all current or future access to and/or use of UNIFYD and the Services (or any portion thereof). 

 

AGREEMENT TO SUBSCRIBER CONDUCT RULES 

By posting information in or otherwise using any communications service, message board, or other interactive service that may be available to you on or through UNIFYD, you agree that you will not upload, post, or otherwise distribute or facilitate distribution of any materials, including text, communications, software, images, sounds, data, or other information (hereafter “Content”) that: 

is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy or publicity rights, tortious, or otherwise violates UNIFYD’s rules or policies; 

infringes on any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party; 

constitutes unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling; 

contains software viruses or any other computer code, files, or programs that are designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of any third party; or 

You also agree that you will not harvest or collect information about the users or Subscribers of UNIFYD or use such information for the purpose of transmitting or facilitating transmission of unsolicited bulk electronic e-mail or communications. You further agree that you will not knowingly solicit or collect personal information from a child 13 years old or younger. UNIFYD generally does not pre-screen, monitor, or edit the content posted by users of communications services, chat rooms, message boards, or other interactive services that may be available on or through this site. However, UNIFYD and its agents have the right at their sole discretion to remove any content that, in UNIFYD’s judgment, does not comply with the User Conduct Rules, Agreement or is otherwise harmful, objectionable, or inaccurate. UNIFYD is not responsible for any failure or delay in removing such content. 

UNIFYD cannot prohibit minors from visiting UNIFYDs; however, UNIFYDs are not directed toward children under the age of 13 and we do not knowingly collect information from children under the age of 13 through the Platforms. If you believe that a child has provided information to us through the Platforms, please contact us by email at contact@unifyd.com 

 

SUBSCRIBER ACCOUNTS, PASSWORD & SECURITY 

Subscriber, you are required to choose a password, and provide your email address and you may be asked for additional information regarding your account. You are responsible for maintaining the confidentiality and security of the password and all other account information, you are fully responsible and liable for all access to and use of UNIFYD and the Services that occur under your password or account. You agree to (a) immediately notify us by e-mail to contact@unifyd.com of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you log out from your account at the end of each session. UNIFYD will not be liable for any loss or damage arising from your failure to comply with this section. 

You acknowledge and agree that UNIFYD and the services, and the software embodied within UNIFYD and the Services, may include security components that permit digital materials to be accessed, used, and protected, and that use of these security components is subject to usage rules set by UNIFYD and/or content providers who provide content to UNIFYD. You may not attempt to override or circumvent any such security components and usage rules embedded in UNIFYDs and the Services. 

Access to and use of the Services may be subject to a subscription fee (“Fee”). The Fee is payable in U.S. dollars or other currency as applicable. You will be required to provide your credit card and other information at the time of your initial subscription. Your credit card will automatically be charged at the time of your subscription or the end of your free trial, and regularly thereafter based on the terms of your subscription you hereby authorize UNIFYD to charge your credit card, PayPal and bank transfer for the then-applicable subscription fee. The Fee is non-refundable. UNIFYD reserves the right to change or modify the Fee or payment schedule (including, without limitation, increasing prices and charging a fee for upgrades) at any time. Plans priced in currencies other than U.S. dollars are subject to adjustment due to fluctuations in exchange rates. UNIFYD will use its reasonable best efforts to provide you with reasonable notice prior to making any fee changes or modifications, with the exception of exchange rate changes. 

If UNIFYD is for any reason unable to effect automatic payment via your credit card, UNIFYD will attempt to notify you via email and if payment is not received in ten (10) days, your account will be disabled until payment is received. You are responsible for notifying UNIFYD of any changes to your credit card information and to update your information if your credit card has expired. UNIFYD may suspend, terminate and/or otherwise interrupt your access to the Services if you fail to so notify UNIFYD. 

You agree to pay your account balance on time. Payments are set up for automatic charge, if payment does not go through at the time of the charge, your account will be disabled until resolved. are required to notify us of any billing problems or discrepancies within sixty (60) days after they first appear on your credit card account statement by sending a written notice to contact@academyofdk.com. If you do not so notify us within the time allowed, you waive any right to dispute such problems or discrepancies. 

Due to certain licensing restrictions placed on our titles, some content may not be available in your geographic location, and therefore, cannot be viewed. If at any time you feel this inhibits your experience upon purchasing subscription, please contact our customer service department and we will work with you in order to remedy the situation. This site may produce automated search results or otherwise link you to other sites on the Internet or satellite connections. These sites may contain information or material that some people may find inappropriate or offensive. These other sites are not under UNIFYD’s control, and you acknowledge that UNIFYD is not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of the content of such sites. The inclusion of such a link does not imply endorsement of the site by or any association with its operators. 

 

PROPRIETARY RIGHTS AND RESTRICTIONS 

You acknowledge and agree that all content and materials available on this site are protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and by other laws and that their use is restricted by the terms of this Agreement. UNIFYD, the UNIFYD product and service names are trademarks and/or service marks of UNIFYD. (the “UNIFYD Marks”) and are owned exclusively by UNIFYD. You will not display or use the UNIFYD’s Marks, in any manner, without UNIFYD’s prior permission. Except as expressly authorized by UNIFYD, you agree not to sell, resell, exploit for any commercial purposes, license, rent, modify, distribute, copy, reproduce, duplicate, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from any portion of such materials or content. Systematic retrieval of data or other content from this site to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from UNIFYD’s is prohibited. In addition, use of the content or materials for any purpose not expressly permitted in these Terms of Use is prohibited. 

 

UNIFYD’S CONTENT POLICIES, OWNERSHIP AND LICENSE 

UNIFYD is committed to promoting the most up-to-date and unique content possible while maintaining standards consistent with the Internet community and the societies of the world. Accordingly, UNIFYD’s will not process, digitize, post, upload, store, share or otherwise display on the UNIFYD’s site: 

  1. Content or material that we believe is pornographic, obscene, or of an adult or sexual nature;

  2. Content or material that exploits children under the age of 13 or posts or discloses any personally identifying information about children under the age of 13;

  3. Content or material promoting or providing instructional information about illegal activities, promoting harm or injury to any group, individual or cruelty to animals including, but not limited to:

    1. Instructions on how to assemble or use bombs, grenades or other weapons; and

    2. Disseminating personal information about another individual for malevolent purposes, including libel, slander, defamation or violation of an individual’s right to privacy.

  4. Copyrighted content or material that is used without the express permission of the owner; Photographs and other images published in books, magazines, posters, calendars, UNIFYD and other media are generally protected by copyright law.

  5. Content or material that infringes or encroaches on the rights of others, including, but not limited to, infringement of privacy and publicity rights and harm to reputation; or 

  6. Any links to the above. 

 

IF SUCH CONTENT GOES PAST OUR MODERATION EFFORTS, YOU AGREE TO INDEMNIFY UNIFYD OF ALL LIABILITY PERTAINING TO THE CONSEQUENCES OF SUCH A POST. 

UNIFYD has the sole discretion to decide whether content or material is prohibited on the site. You acknowledge that UNIFYD has the absolute right (but not the obligation) to delete, move and edit content and material for any reason, in any manner, at any time, without notice. 

You should also know that in visiting the UNIFYD Platform, you may be exposed to materials you consider to be offensive and you assume responsibility for your exposure. 

UNIFYD does not claim ownership rights in any Subscriber or user content “Subscriber Content” that you post on the UNIFYD or otherwise make available through the Services. Subject to the non-exclusive license contained herein, as between UNIFYD and you, you will retain all intellectual property rights that you may have in any Content that originates with you. 

You shall grant a license to UNIFYD to use and distribute Subscriber Content. You are responsible for all Content you post, upload, or post on UNIFYD. This enables us to permit other users or visitors and Subscribers to view and share your Subscriber Content, and to display your Subscriber Content in other places within the Platforms. Accordingly, by posting, displaying, publishing, transmitting, or otherwise making available (individually and collectively, “posting”) any Subscriber Content on or through UNIFYD or the Services, you hereby grant to UNIFYD a non-exclusive (meaning you can license the Subscriber Content to other parties as well), fully-paid, royalty-free, perpetual, irrevocable, worldwide license (including the right to sublicense) to use, copy, modify, adapt, translate, create derivative works, publicly perform, publicly display, store, reproduce, transmit, distribute, and otherwise make available such Subscriber Content on and through UNIFYD and/or the Services, in print, or in any other format or media now known or hereafter invented, without any obligation of notification, compensation, attribution or consent. Notwithstanding the foregoing, UNIFYD will not use your Subscriber Content to create commercial products such as books. For purposes of this section, “commercial products” does not include use on UNIFYD and the Services and/or the advertising, publicity, promotional and marketing materials for UNIFYDs and the Services in any and all formats and media now known or hereafter invented. If you wish to remove any Subscriber Content from UNIFYDs and/or the Services, the decision will be made by UNIFYD alone in its sole and absolute discretion, and our decision may depend on the type of Subscriber Content, the location and manner of posting, and other factors. 

You may contact us at contact@unifyd.com to request the removal of certain Subscriber Content you have posted, but UNIFYD (i) has no obligation to remove any such Subscriber Content, (ii) may choose whether or not to do so in its sole discretion, and (iii) makes no guarantee as to the complete deletion of any such Subscriber Content and copies thereof. In any case, a back-up or residual copy of any Subscriber Content posted by you may remain on UNIFYD’s servers after the Subscriber Content appears to have been removed from the Platforms and/or the Services, and UNIFYD retains all rights granted in this section to all such remaining copies. You represent and warrant that: (i) you own all right, title and interest in all Subscriber Content posted by you on or through our Platforms or the Services, or otherwise have the right to grant the license set forth in this section, and (ii) the posting of your Subscriber Content on or through the Platforms and/or the Services does not require the knowledge or consent of any third party and does not violate the privacy rights, publicity rights, copyrights, trademarks, patents, trade secrets, contract rights, confidentiality, or any other rights of any third party.

WARRANTIES 

You acknowledge and agree that UNIFYD and the Services are offered without warranties of any kind whatsoever by UNIFYD and/or the providers of Site Content. The disclaimer of warranties includes, but is not limited to, the following.

  1. Your use of UNIFYD and the Services is at your sole risk. UNIFYD and the Services are provided on an “as is” and “as available” basis. UNIFYD and its parent, subsidiaries, affiliates, successors and assigns, and their respective shareholders, officers, directors, employees, agents, partners, licensors, vendors and contractors (collectively, the “UNIFYD-Related Parties”) expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement, with respect to the service, UNIFYD, and any third party Platforms with which they are linked. 

  2. UNIFYD-Related Parties are not responsible or liable for any loss, damage, injury or health problems that may result from your use of the Site Content and/or other aspects of UNIFYDs and/or the Services, including but not limited to training programs, recipes, products, services, events and/or information that you may learn about on UNIFYD and/or the Services, and/or any action or inaction on your part as a result of information you have obtained from UNIFYD and/or the Services. By way of example only, if you engage in any exercise or diet program, fasting or other program that you receive or learn about through UNIFYD and/or the Services, and/or if you use any product or service that you receive or learn about through UNIFYD and/or the Services, you agree that you do so voluntarily, after consulting an appropriate health professional of your choice, and at your own risk, and you agree to release and discharge UNIFYD-Related Parties from any and all claims or causes of action, known or unknown, arising out of the foregoing. 

  3. UNIFYD-Related Parties make no warranty that the Platforms or the Services, the Site Content, and/or the information, products and services available through UNIFYDs or the Service will meet your expectations or requirements, or that you will achieve any particular results from the use of any of the foregoing, or that UNIFYDs or the Services will be uninterrupted, timely, secure, error-free, or free of any harmless components (including viruses, malware, spyware, or comparable components). 

  4. You expressly assume the risk, by way of example, of non-delivery or failure to store postings of Subscriber Content, communications, personalized settings, or data, and you acknowledge that UNIFYD-Related Parties make no warranties regarding the foregoing. 

  5. Any material downloaded or otherwise obtained through the use of UNIFYDs or the Services is accessed at your own discretion and risk, and you will be solely responsible for any loss or damage to your computer system or loss of data that results from the download of any such material. 

 

WAIVER OF CLAIMS 

You hereby waive, release and discharge the UNIFYD-Related Parties from and against any claims that you may be entitled to make by reason of any use of your Subscriber Content authorized under this Agreement and/or by reason of your participation in any of the communications and social networking features of the Services, including but not limited to, and by way of example only, any claims based on copyright infringement, trademark infringement, rights of privacy or publicity, defamation and otherwise. 

 

INDEMNITY 

You agree to indemnify and hold UNIFYD, and its trustees, members, parent, subsidiaries and affiliates and their respective officers, directors, agents, co-branders and other partners, contractors, and employees, (“Related Parties”), harmless from and against any and all claims, expenses, and demands, including attorneys’ fees, made by any third party due to, arising out of, or asserted in connection with your use or misuse of this Site, including claims relating to content you submit, post to or transmit through this site, and your connection to and use of this Site. UNIFYD reserves the right to have control of any defense and control of any matter otherwise subject to indemnification by you. You agree to cooperate with UNIFYD in asserting any available defenses. You agree that if you ever bring UNIFYD or any of its Related Parties to court, you will pay for all of the legal fees incurred by UNIFYD regardless of the outcome of the case. 

 

IF YOU CHOOSE TO BRING A CASE TO COURT, YOU AGREE TO PAY ALL OF UNIFYD’s LEGAL FEES REGARDLESS OF THE OUTCOME OF THE CASE 

 

LIMITATION OF LIABILITY 

To the fullest extent permitted by applicable laws, UNIFYD and its related Parties will in no event be liable to you or any third party for any indirect, consequential, exemplary, incidental, special or punitive damages, including lost profit damages arising from or in connection with any use of UNIFYDs and/or the products and/or Services, and/or any UNIFYD with which they are linked, and/or any content, information, products or services accessible through UNIFYDs and/or the products and/or Services, even if any of the UNIFYD, its Related Parties have been advised of the possibility of such losses or damages. Notwithstanding anything to the contrary contained herein, the aggregate liability of the UNIFYD its Related Parties to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to UNIFYD for the products and/or Services. 

 

MISCELLANEOUS  

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations of liability may not apply to you. In any such case, and/or if any terms or conditions of this Agreement are held to be invalid for any reason whatsoever, this Agreement shall remain in full force and effect on its remaining terms and conditions of this Agreement unless and until terminated by UNIFYD. Furthermore, if any term or condition of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the intentions of the parties as reflected in the invalidated provision. 

You agree to indemnify, defend, and hold harmless UNIFYD and its Related Parties from any and all third-party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from your breach of the terms of this Agreement, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity. UNIFYD will use its reasonable best efforts to notify you promptly of any such claim, loss, liability, or demand, and will provide you with reasonable assistance, at your expense, in defending any such claim, loss, liability, damage, or cost. 

This Agreement, together with any other terms and conditions referenced herein (including without limitation the Application, Privacy Policy and Additional Terms), constitutes the entire agreement between you and UNIFYD and governs your use of UNIFYDs and the product or Service, superseding any prior agreements between you and UNIFYD with respect to UNIFYDs and/or the products or Services. 

This Agreement and the relationship between you and UNIFYD shall be governed by the Bylaws of Unifyd World without regard to its conflict of law provisions. 

You and UNIFYD acknowledge and agree that they are independently contracting parties dealing at arm’s length with each other in connection with the licensing of intellectual property rights and the provision of services. No partnership, joint venture, joint authorship, employment, fiduciary, agency or other relationship is created between them.

By agreeing to the Terms of Use applicable to the Platforms at which this Privacy Policy is posted, you are also agreeing to be bound by this Privacy Policy collectively making up the Agreement. Unless otherwise indicated, defined terms in this Privacy Policy shall have the same meaning assigned to them in the Terms of Use. 

 

SUBSCRIPTION AND USER OR VISITORS 

Subscribers, user or visitors from time to time may be asked to provide certain personal information when they sign up for our Products or Services including name, address, telephone number, billing information (such as a credit card number), and the type of personal computer being used to access the Services. The personal information collected from Subscribers during the registration process is used to manage each Subscribers’ account (such as for billing purposes). In this instance, personal information may not be used by the partner for any other purpose. We may also generate non-identifying and aggregate profiles from personal information Subscribers provide during registration (such as the total number, but not the names, of Subscriber).

Some products and services may be offered to Visitors and Subscribers in conjunction with an affiliate, independent contractor seller or non-affiliated partner. To provide Visitors and Subscribers some of these products and services, the partner may need to collect and maintain personal information. In these instances, you will be notified before any such data is collected or transferred and may decide not to use that particular service or feature. 

Additionally, our partners may have advertisements or co-branded Web Pages that are cosponsored by an affiliate, independent contractor seller, or non-affiliated partner. UNIFYD may share non-identifying and aggregate information (except as described above), but not personal information, with such partners in order to administer the co-branded products or services offered. 

 

ONLINE ADVERTISEMENTS 

Although UNIFYD is not currently open to any advertisers on the site, we do reserve the right to change that model if the majority of our subscribers are in favor. In the case that the model does shift at any point in time, UNIFYD may share aggregated and non-identifying information about our Visitors and Subscribers collected through the registration process as well as through online surveys and promotions with these advertisers. 

Additionally, in some instances, we use this aggregated and non-identifying information to deliver tailored advertisements or joint ventures. For instance, an advertiser or joint venture company tells us the audience they want to reach and provides us an advertisement tailored to the audience. Based upon the aggregated and non-identifying information UNIFYD has collected, we may then display or send the advertisement to the intended audience. UNIFYD does not share personal information about its Visitors or Subscribers with these advertisers or joint venture companies. 

 

RESPONSES TO EMAIL INQUIRIES 

When Visitors or Subscribers send email inquiries to UNIFYD, the return email address is used to answer the email inquiry we receive. UNIFYD does not use the return email address for any other purpose and does not share the return email address with any third party. 

 

DISCUSSIONS AND COMMUNITY TOOLS 

UNIFYD and the Services allows for you to connect with others in post, chat rooms, forums, bulletin boards, news groups and other community tools available to Subscribers and/or Visitors. Please remember that any information that is disclosed in these areas becomes public information for everyone to view and for UNIFYD to use. Please do not disclose any personally identifiable information, including without limitation your full name or e-mail address, in these publicly accessible areas of UNIFYDs or the Services. Please be considerate and respectful of others while using any chat rooms, forums or message boards to share your opinion. 

 

VOLUNTARY SURVEYS 

UNIFYD may periodically conduct both business and individual Subscribers surveys. We encourage our Subscribers to participate in these surveys because they provide us with important information that helps us to improve the types of products and services we offer and how we provide them to you. Your personal information and responses will remain strictly confidential, even if the survey is conducted by a third party. Participation in our surveys is voluntary.

If a user is found in violation, the account may be suspended and/or terminated. The determination of suspension or termination is at the sole discretion of UNIFYD.
